2. Acceptance of Terms
By accessing our website at the-syndicate.io, joining our waitlist, or using any of our services, you confirm that you are at least 18 years of age and that you accept and agree to be bound by these Terms of Service and our Privacy Policy.
These Terms apply to all visitors, users, and others who access or use the Service.
3. Description of Service
The Syndicate is an AI-powered SaaS platform designed for Google dropshippers. The Service provides automated tooling, AI agents, and intelligence systems to assist with Google Ads management, product feed optimisation, compliance monitoring, and related e-commerce operations.
The Service is currently in pre-launch. Access is limited and provided on an invitation-only basis through our waitlist programme. Features, pricing, and availability may change without notice during this period.
4. Access and Accounts
4.1 Waitlist
Joining our waitlist does not guarantee access to the Service. We reserve the right to grant or deny access at our sole discretion. Being on the waitlist does not create any contractual obligation on our part to provide the Service.
4.2 Account Responsibilities
When you are granted access and create an account, you are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Ensuring that your account information is accurate and up to date
- Notifying us immediately of any unauthorised use of your account
5. Acceptable Use
You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:
- Use the Service to violate any applicable law or regulation, including Google's advertising policies, terms of service, or platform rules
- Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure

- Resell, sublicense, or redistribute access to the Service without our express written consent

- Engage in any conduct that is fraudulent, deceptive, or misleading
- Use automated scripts or bots to interact with the Service in ways not explicitly permitted
We reserve the right to suspend or terminate your access immediately if we reasonably believe you are in breach of these acceptable use obligations.

All content, software, trademarks, logos, and other intellectual property associated with The Syndicate are owned by or licensed to Icarus Agency Ltd. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your own internal business purposes.
Nothing in these Terms transfers any intellectual property rights to you. You may not use our trademarks, logos, or branding without our prior written consent.
7. Third-Party Services and Integrations
The Syndicate may integrate with or reference third-party services, including Google Ads, Google Merchant Center, Shopify, and others. Your use of those third-party services is governed by their own terms and policies. We are not responsible for the actions, content, or practices of any third-party service.
We are not affiliated with, endorsed by, or officially connected to Google LLC or Shopify Inc. Any use of their names is solely for descriptive purposes.
8. No Warranties
The Service is provided on an "as is" and "as available" basis without any warranties of any kind, express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Any results obtained from using the Service will be accurate, complete, or reliable
- The Service will meet your specific requirements or expectations
- Any defects or errors in the Service will be corrected
The AI agents and automation tools within the Service are designed to assist decision-making, not replace it. You are solely responsible for reviewing any recommendations generated by the Service before acting upon them.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Icarus Agency Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits or revenue
- Loss of data or business information
- Damage to your Google Ads account, Merchant Center account, or any third-party platform
- Business interruption or loss of goodwill
- Any other indirect loss or damage
In no event shall our total aggregate liability to you exceed the amount you have paid to us in the twelve (12) months preceding the claim, or £100 (whichever is greater).
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other matter that cannot be excluded by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Icarus Agency Ltd. and its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your breach of these Terms, or your violation of any third-party rights.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand how we collect, use, and protect your personal data.
12. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms. Upon termination, your right to access the Service will cease immediately.

13. Modifications to the Service and Terms

Continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer based in another jurisdiction, you may have additional rights under your local laws that cannot be excluded by this clause.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Icarus Agency Ltd. with respect to your use of the Service, and supersede all prior agreements, representations, and understandings.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
